Fabricators Purchasing from Story Surfaces
1. General Terms
These Terms and Conditions govern the sale of porcelain slabs and related products (“Products”) by Story Surfaces (“Seller”) to fabricators and distributors (“Buyer”). By placing an order with the Seller, the Buyer agrees to be bound by these Terms and Conditions.
2. Order Placement and Acceptance
All orders are subject to acceptance by the Seller. The Buyer must provide complete and accurate information when placing an order. Orders are considered accepted when confirmed in writing by the Seller. Any modifications or cancellations to an order must be communicated in writing and may be subject to additional charges.
3. Pricing and Payment Terms
All prices are listed in Australian dollars (AUD) and are subject to change without prior notice. Payment is due as specified on the invoice. Standard terms are due the date of invoice unless otherwise agreed upon in writing. The Seller reserves the right to withhold orders if the Buyer fails to make payments when due.
4. Delivery and Inspection
Delivery dates are estimated and are not guaranteed. The Seller is not liable for any delays in delivery. Risk of loss or damage to the Products passes to the Buyer upon delivery. The Buyer must inspect the Products upon delivery and report any damages or discrepancies within [3] business days. Failure to notify the Seller within this period will be deemed acceptance of the Products.
5. Handling and Installation
The Buyer is responsible for ensuring proper handling, storage, and installation of the Products. The Seller provides guidelines for handling and installation, which must be followed to maintain warranty coverage. The Buyer must ensure that all fabricators and installers are adequately trained and certified for handling and installing porcelain slabs. The Seller is not responsible for any damage caused by improper handling, storage, or installation by the Buyer or their agents.
6. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of Qld, Australia. Any disputes arising out of or related to these Terms and Conditions shall be resolved through negotiation. If negotiation fails, the dispute will be submitted to binding arbitration in Qld, Australia.
7. Entire Agreement
These Terms and Conditions constitute the entire agreement between the Seller and the Buyer and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter.
8. Amendments
The Seller reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated in writing and will apply to orders placed after the date of the amendment.
9. Acceptance of Terms
By placing an order with the Seller, the Buyer acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
